Business Formation

Whether you want to set up an LLC, S-Corp, C-Corp, or some other structure, we’d be happy to assist you with the formation including obtaining your Articles of Organization, obtaining an Employer Identification Number (EIN), tax registration, obtaining a business license, and more. We can even help you with your marketing plan and business plan.

Structural Selection

Many people when developing or growing an organization make the decision to form a separate entity from themselves, but unfortunately regulatory bodies don’t usually make this process easy. Furthermore, different types of entities formed can have different advantages and disadvantages. One might also consider in what state to form the entity. We can help you consider advantages and disadvantages of various structures as well as help you form the new entity. Our experience in forming, managing, owning and growing such entities include:

  • For Profit
    • LLC
    • S-Corp
    • C-Corp
    • Limited Partnerships
  • Not for Profit
    • PACs – 501(c)4
    • Super PACS – 527
  • Non-profit
    • 501(c)3

Risk Management

A key reason for formation of a separate entity is often to limit liability. Such liability can come from many areas and we often also recommend consideration of proper insurance overages and bonding, however, forming a separate entity is a critical step in helping to reduce risk.

Licensing and Registration

Another key aspect of business formation is licensing and registration. Again, while one would think it would be a simple process, it rarely is. Depending upon the kind of entity you are forming, there can be numerous licenses and registrations required. We have experience in dealing with many from local licenses and Employer Identification Numbers to Professional Privilege Tax and ERISA Bonding, we can help.

Medallion Jackson Tennessee

If you’re reading this, you may have been told that you need a Medallion Signature Guarantee in order to transfer your investments, but you can’t find anyone willing to provide it. If this is the case for you or your clients, we’d be glad to assist you!

At Eddleman & Eddleman, we will in most cases provide a Medallion Signature Guarantee to non-clients and those transferring assets to institutions other than our firm for a nominal fee.*

Will Eddleman & Eddleman provide a Medallion Signature Guarantee for me if I am not a client and/or I am not transferring assets for their management?

Yes, in most cases.* If you need a Medallion Signature Guarantee or you have customers or clients who are transferring assets and your institution or firm does not provide the Medallion Signature Guarantee or cannot provide the guarantee because the assets are transferring to another institution, we will be happy to assist. Furthermore, you have our assurance that we will not interfere in any way with the transaction you may be attempting, though we will be obligated to provide our Disclosure Brochure, which explains to recipients who our firm is.

If I am already an Eddleman & Eddleman client or I am in the process of becoming one, does the fee still apply?

No. For our clients or soon to be clients of any division, accounting, financial planning, venture capital, or investment advisory, there is no charge for a Medallion Signature Guarantee.

What is a Medallion Signature Guarantee?

If you’re unaware, a Medallion Signature Guarantee is a special signature guarantee for the transfer of securities whereby the verifying financial institution accepts liability that:

  1. The signature is genuine, AND
  2. The signer has legal authority to sign the document guaranteed, AND
  3. The signer has capacity.
Why do most institutions make it so difficult to obtain a Medallion Signature Guarantee?

Because of the liability associated with such a Medallion Signature Guarantee, most financial institutions are moving towards only guaranteeing signatures for the transfer of assets to their institution; many will not even guarantee their own customers signatures if the guaranteed assets are transferring to another institution. In short, most institutions are limiting the availability to this service because they do not have a cost effective way to provide it and still limit their liability.

How do I obtain a Medallion Signature Guarantee from Eddleman & Eddleman, LLC?
  1. Before coming by our office, we recommend calling to schedule an appointment. We are happy to accept walk-ins, however, a very limited number of persons on our staff have the ability to provide the Medallion Signature Guarantee. So, we hate for you to make a trip for no reason if our staff that will provide the guarantee are unavailable for any reason.
  2. Bring the signer and do not sign the document until you are in our presence! While it may seem obvious, we cannot guarantee a signature that we do not witness.
  3. Bring the minimal required documents for verification of your identity. As a minimum, this will be:
    1. Two forms of identification, each of which must include one of the following:
      1. A signature that has been digitized (e.g. Driver’s License)
      2. A photo identification that also includes your name (e.g. Student ID, Work ID, etc.)
    2. A copy of your most recent statement for the assets being transferred.
  4. Bring other supporting documentation. In many instances, we will need to document other items to confirm that you are the legal signer or that you have authority to sign. These may be documents such as a power of attorney, divorce decree, etc. While we can’t tell you what each of these may be, it is a good idea to bring any documentation supporting that “you are who you say you are” and that “you have authority to sign the document”.
Why would Eddleman & Eddleman want to engage in providing such a service when so many other financial institutions are increasing their scrutiny and limitations on such guarantees?

First, as a small firm, our principles (owners) are close to the local relationships for signatures being verified and we have complete confidence in our own ability to fact find, document, examine, and reach a legal conclusion regarding the signatures we guarantee. It is difficult for a multinational conglomerate, far removed from a local staff member with uncertainty about such a staff member’s ability in these matters to be as confident. Therefore, such entities most often limit such risk by limiting who they choose to serve.

Furthermore, as you are probably aware, Eddleman & Eddleman is a boutique firm offering a very high level of services in accounting, financial planning, investment, and venture capital advice and implementation. While one of these areas of advisement may compete with certain financial services professionals (you or yours), most firms do not offer every one of these financial services. We don’t have to be everything to everybody. We’re more than happy to help you or your client in providing the highest level of service and maybe the next time you or your client needs assistance with something, you’ll consider the care, dedication, and cooperation provided by us in helping obtain a Medallion Signature Guarantee. Just consider it a trial run introduction on how we like to work in serving clients through cooperation rather than competition!

What does it cost?

Generally, the fee is $39 per signature guaranteed for non-Eddleman clients; however, under certain circumstances requiring additional investigation, documentation, or verification, we may have to charge more due to the additional time and liability involved. But, we will let you know in advance if it will be more. Documents requiring more than one signatory to be verified or transfers completed in a series will incur an additional $39 fee for each signature verified.

Is there a maximum account size that Eddleman & Eddleman can facilitate transfer for?

No and yes. Technically, we can facilitate the transfer of an account of any size. However, accounts in excess of $100,000 will have to be transferred in a series of transactions for which each transaction does not exceed the $100,000 limit. We cannot provide a Medallion Signature Guarantee for transactions over $100,000.

Are there other limitations on Medallion Signature Guarantees provided by Eddleman & Eddleman?

We do reserve the right to refuse to guarantee the signature of any individual at our sole discretion. If we cannot sufficiently verify you AND your legal authority AND your legal capacity to our satisfaction, we will not guarantee your document.

* Eddleman & Eddleman, LLC, will not be able to provide a Medallion Signature Guarantee for transactions over $100,000, so transfers in excess of this amount will have to be completed in a series of transactions or by another Guarantor. In addition, we reserve the right to refuse to guarantee the signature of any individual at our discretion. Generally, the nominal fee to provide a Medallion Signature Guarantee to a non-Eddleman client is $39, however, under certain circumstances requiring additional investigation, documentation, or verification, Eddleman and Eddleman reserves the right to increase this fee with advanced notice to the signatory. Furthermore, we reserve the right to increase this fee in the future without further notification to you or your firm. Documents requiring more than one signatory to be verified will incur an additional fee for each signature verified. Generally, Eddleman & Eddleman clients will not be charged for a Medallion Signature Guarantee.

That’s why we make it our business to stay up-to-date with changing payroll laws and compliance so you don’t have to.

If you’ve ever made a payroll mistake or missed a deadline that cost you big money in fines and penalties, you’re not alone. We’ll happily take charge of all of these myriad payroll requirements, deadlines, and responsibilities.

Freedom on Payroll Day

If you’d rather be anywhere but chained to your desk on Friday when you have to get the payroll out, we can painlessly help you bring your payroll system into the 21st century. With options like direct deposit and cloud-based approval systems, you can approve your payroll from any internet connection in the world: think cruise ships, wi-fi enabled flights, or that beach house in Maui.

More than Payroll Services

Need Controller-Level Services
without a Controller Salary Price Tag?

Do you need help in financial areas such as cash flow, interpreting financial statements, or setting up key performance metrics?

Is your business too small for a full time Controller, yet in increasing need of more financial expertise and guidance?

Could you use professional accounting and financial advice in your small business?

If you said yes to any of these questions, then you may benefit from our Controller services. We can help you fill in the missing management-level gaps in your accounting team without you having to pay expensive full time executive level salaries.

Keeping the Cash Flowing

One of the most challenging tasks of small business owners is managing their cash balances. We can help you get the right tools in place so you can stay on top of your cash. Whether it’s setting up the right reporting, creating forecasts, or preparing a loan package for your local bank, we can help you keep your cash flowing.

Behind the Controls

Small business accounting functions often lack the internal controls and procedures to help prevent fraud, theft, and other risks to your hard-earned assets. That means your business assets, from cash to inventory to receivables, could be at greater risk of being mishandled.

We can review the duties of each bookkeeper and make suggestions to procedure changes that will lower your risk and help you better protect your business assets.

Profitability Analysis

Do you wonder which product or service line is the most profitable for you? We can perform an analysis of profitability by location, product, employee, or whatever grouping is meaningful for you. This information will help you make better decisions about your revenue mix and make your business more profitable in the long term.

Process Development and Improvement

Are there any areas in your accounting functions that are undocumented? We can help you write a procedures manual for those areas.

We can also take a look at areas within your accounting system that are costing you more than they should be. These could include areas of duplicate data entry, time spent on manual reports, and bottlenecks in general. We’ll suggest improvements that can save your time and money and keep your bookkeeping bill as low as possible.

Planning and Budgeting

Do you know exactly what you want your business to look like in three to five years, but are not sure how to get there? We can help you make sense of the financial piece of planning so you can achieve your dreams.

In the short term, we can also help you create a budget for your business so you can control expenses and see where you stand relative to your goals.

Real Estate and Equipment Acquisition

Planning a large investment? We can help you compare and evaluate your options from a financial standpoint so you can make an informed decision.

Staff Training

If you don’t have the time or expertise to train your bookkeeping or accounting staff, we can provide the training they need to become proficient in their accounting duties.

Sounding Board

It can be difficult to find good advice when you are in business for yourself. Friends and spouses who are not self-employed don’t often understand the decisions we make. As a fellow small business owner, we can act as a sounding board for your business ideas.
